Terms of Service
Effective October 15, 2026
These Terms are an agreement between you and Exhort Technologies LLC, a Wisconsin limited liability company ("we", "us"), and govern your use of Dibri: the dibri.ai website, the Dibri app, the API, the MCP server, the website widget and hosted agent pages (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you use the Service for an organization, you agree to these Terms on its behalf and confirm you have authority to do so; "you" then means that organization. You must be at least 18 years old to create an account.
1. Your account
- Give accurate information and keep it current.
- Keep your password, agent tokens and analytics keys confidential. You're responsible for activity under your account and keys. Tell us promptly at speak@dibri.ai about any unauthorized use.
- Your organization's admins control its users, vaults, agents and keys.
2. Plans, billing and cancellation
- Plans and their limits are described on our pricing page. The Free plan costs nothing; paid plans are billed monthly in advance through Stripe and renew automatically until cancelled.
- Upgrades take effect immediately and are prorated. You can change plans or cancel at any time from Billing → Manage subscription; a cancellation takes effect at the end of the period you've paid for, after which your organization moves to the Free plan.
- Fees are non-refundable except where required by law. Prices exclude taxes, which you're responsible for where applicable.
- Each plan includes a number of answers per month, which resets on the 1st (UTC). When it's used up, your agents stop answering until it resets or you upgrade.
- If a payment fails and can't be collected after Stripe's retries, the subscription ends and your organization moves to the Free plan.
- We may change prices or plan limits, or change or end the Free plan, with at least 30 days' notice by email. A price change applies from your next billing period after the notice.
3. Your content
You keep all rights to the documents, pages, files and other content you put into the Service, and to the questions and answers it handles for you ("Your Content"). You give us a limited license to host, copy, index, process and transmit Your Content, including sending passages to our AI model provider, only as needed to provide the Service to you. We don't use Your Content to train AI models.
You confirm that you have the rights needed for Your Content, including permission to crawl any website you point Dibri at and to use any files you connect, and that putting it into the Service doesn't violate anyone's rights or any law.
4. AI answers
Dibri is designed to answer only from content you provide and approve, and to refuse when that content doesn't cover a question. Answers are still produced by AI and can be incomplete or wrong, even when they cite sources. Refusals, confidence scores, citations and injection screening are aids, not guarantees.
You're responsible for the content you approve, for how you configure your agents, and for how you and your agents use answers, including what your agents tell your own customers. Don't rely on the Service as the only basis for legal, medical, financial or safety-critical decisions.
5. Acceptable use
You agree not to:
- put illegal, infringing, harmful or malicious content into the Service, or use it to harass, deceive or harm anyone;
- try to access another organization's data, get around plan limits or security, or probe, scan or test the Service's vulnerabilities without our written permission;
- attack the Service or its users, including with prompt-injection content aimed at other organizations, or overload it;
- use the Service where a failure could lead to death, injury or serious damage;
- reverse engineer the Service except where the law allows it despite this restriction.
6. Reselling and white label
You may offer the Service to your own clients as part of your products, under your brand. If you do:
- you remain responsible for your clients' use of the Service and for paying all fees;
- your clients must agree to terms at least as protective of us as these, including sections 3, 4 and 5;
- you provide support to your clients, and we support you by email;
- we have no agreement with, and no obligations to, your clients.
7. API and MCP
Use of the API and MCP server is subject to these Terms and to reasonable rate limits. We may change them; we'll give reasonable notice before changes that break existing integrations, except where a change is needed for security or legal reasons.
8. Third-party services
Payments are processed by Stripe, and connecting OneDrive or Google Drive is subject to Microsoft's and Google's terms. We aren't responsible for third-party services.
9. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, don't pay, create a security risk, or if the law requires it. Where practical, we'll tell you first and give you a chance to fix the problem. After an account is closed, we delete its content within 30 days, and from backups within 90 days. Sections 3, 4 and 10 through 15 survive termination.
10. Feedback
If you send us suggestions, we may use them without any obligation to you.
11. Disclaimer
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and we don't warrant that the Service will be uninterrupted or error-free or that answers will be accurate or complete.
12. Limitation of liability
To the fullest extent permitted by law, we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or these Terms. Our total liability for all claims arising from or related to the Service or these Terms won't exceed the greater of the amount you paid us in the 12 months before the claim or fifty U.S. dollars ($50).
Some jurisdictions don't allow some of these limits, so they may not all apply to you.
13. Indemnity
You'll defend and indemnify Exhort Technologies LLC and its members, employees and agents against claims, damages and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service, what your agents tell others, your clients' use if you resell the Service, or your breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Wisconsin, and you and we consent to their jurisdiction.
15. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
16. Changes to these Terms
We may update these Terms. For material changes we'll notify account holders by email or in the app at least 30 days before they take effect. Continuing to use the Service after that means you accept the new Terms.
